The terms and conditions herein (“Terms”) apply to the ONE Phygital Jacket and its associated digital token (“ONE Phygital NFT”) and any related digital utilities made available through the website https://neothreads.onefc.com (“Website”), operated by ONE Championship (Singapore) Pte. Ltd. (the “Company”). References to “us”, “we”, and “our” refer to the Company. These Terms are in addition to any other policies, guidelines, or promotional terms that the Company may make available on the Website or otherwise communicate from time to time.
You are deemed to agree to these Terms when you acquire lawful ownership of any ONE Phygital Jacket and claim or unlock the associated ONE Phygital NFT through the Website. These Terms form an agreement and define the contractual relationship between the person who Owns a ONE Phygital NFT (“you” or “your”) and the Company (together, the “Parties”, and each a “Party”). Please read these Terms carefully. If you do not accept and agree to these Terms, you should refrain from scanning or claiming the ONE Phygital NFT.
DEFINITIONS
The following terms have the corresponding meanings:
“Digital Utility” means any digital benefit, feature, or entitlement associated with the ONE Phygital NFT, which may include (but is not limited to) SUI tokens, event tickets, merchandise discounts, whitelist or pre-sale access, and athlete-related content or access within ONE Fight Arena or other affiliated platforms.
“NFT” means a blockchain-tracked, non-fungible token.
“Own” means, with respect to a ONE Phygital NFT, the NFT that was originally received or claimed by you from the Company by scanning an eligible ONE Phygital Jacket via the Website, where proof of such ownership is recorded on the Sui blockchain.
“ONE Phygital NFT” means the NFT minted by or on behalf of the Company that is linked to, or otherwise associated with, a particular ONE Phygital Jacket and any Digital Utility.
LICENSE
2.1 Personal License
Subject to your compliance with these Terms, for as long as you lawfully Own a ONE Phygital NFT, the Company grants you a limited, worldwide, revocable, non-exclusive, personal, non-sublicensable license to access, view, and display the digital representation associated with the ONE Phygital NFT solely for personal, non-commercial purposes, including display on your social media accounts. The ONE Phygital NFT and its associated digital representation are intended for consumer enjoyment and engagement only.
2.2 Ownership
You acknowledge and agree that the Company (or, as applicable, its licensors) owns all rights, title, and interest in and to the designs, imagery, branding, trademarks, and other intellectual property associated with the ONE Phygital Jacket and the ONE Phygital NFT, together with all related intellectual property rights. Unless expressly licensed in these Terms, the Company reserves all rights not expressly granted herein.
2.3 Non-Transferable
Ownership of the ONE Phygital NFT is strictly non-transferable unless otherwise expressly permitted by the Company. The license and any Digital Utility granted to you under these Terms are also non-transferable.
DIGITAL UTILITIES
3.1 Access and Redemption
Digital Utilities associated with a ONE Phygital NFT may be accessed or redeemed only through the Website or designated ONE platforms. Each Digital Utility is subject to separate terms, eligibility criteria, and availability as determined by the Company.
3.2 No Guarantee
The Company makes no representation, warranty, or guarantee as to the continued availability, functionality, or monetary value of any Digital Utility, including but not limited to SUI tokens, tickets, discounts, or whitelist access. The Company may modify, suspend, or discontinue any Digital Utility at its sole discretion, without notice or compensation.
3.3 Third-Party Platforms
Certain Digital Utilities may be hosted, operated, or fulfilled by third-party platforms (including but not limited to blockchain networks, ticketing systems, or affiliate services). You acknowledge that the Company is not responsible for any failure, limitation, or change in service provided by such third parties.
RESTRICTIONS
You shall not, and shall not authorize, assist, or facilitate any person to do or attempt to do any of the following:
– Copy, reproduce, or create derivatives of the digital assets or designs associated with the ONE Phygital NFT;
– Use the digital assets or Digital Utilities for any commercial, promotional, or resale purpose;
– Remove or alter any trademark, copyright, or proprietary notices;
– Tamper, interfere, separate, or decouple the NFT from its linked physical jacket or utilities;
– Attempt to mint, trademark, or otherwise claim additional rights in the designs, artwork, or associated content;
– Use the NFT or any associated content in a manner that violates applicable laws or is defamatory, obscene, fraudulent, discriminatory, or otherwise objectionable as determined by the Company in its sole discretion.
These restrictions shall survive termination of these Terms.
DISCLAIMER AND LIMITATION OF LIABILITY
5.1 Disclaimer
The ONE Phygital NFT, its Digital Utilities, and related Website are provided on an “as is” and “as available” basis. The Company expressly disclaims all representations, warranties, and conditions of any kind, whether express or implied, including but not limited to fitness for purpose, availability, accuracy, non-infringement, or security.
5.2 Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with your use (or inability to use) the ONE Phygital NFT, the Digital Utilities, or the Website, including but not limited to any blockchain malfunctions, wallet issues, smart contract failures, or third-party actions.
GENERAL TERMS
6.1 Termination
If you breach any of these Terms, the Company may immediately revoke your license, disable access to the relevant NFT, or terminate your participation in the associated programs, without notice or compensation.
6.2 Indemnity
You agree to indemnify and hold the Company harmless from any losses, damages, costs, or liabilities arising from your breach of these Terms, misuse of the NFT, or violation of applicable laws.
6.3 Entire Agreement
These Terms constitute the entire agreement between you and the Company regarding the ONE Phygital NFT and supersede all prior understandings or representations.
6.4 Governing Law and Arbitration
These Terms shall be governed by the laws of Singapore. Any dispute shall be resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules. The seat of arbitration shall be Singapore, and the language shall be English.
Each Party agrees to bring claims only in its individual capacity and not as part of any class or representative action.
